TERMS OF AGREEMENT AND SERVICES

The following terms and conditions govern all use of the National Student Network (Website) and all content, services and products (collectively “Services”) available at or through the website located at www.nsncanada.org. The Website (“Site”) is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies and procedures that may be published from time to time on this Site (collectively, the “Agreement”).

It is understood by you that this Agreement also pertains to your compliance to the National Student Network contracted and code of conduct terms [an addendum to the Terms of Agreement and Services, provided as an Additional Agreement relevant and pertaining to a specified user] In this agreement “specified user” is defined as:

a)     VOLUNTEER

National Team, Regional Chair, Regional Coordinator, National Young Leader [or “mentor”]

b)     MEMBER

Register user of general public, student [or “youth”, “mentee”], third party organization [or “partners”]

Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. The Website is available only to individuals who are at least 13 years old.

If you do not agree to these terms, you may not access or use the website and/or services.

CONDITIONS FOR ACCEPTING TERMS OF USE

You warrant that you have the authority to accept, enter into the terms of this Agreement. You acknowledge that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations defined by this Agreement and to abide by and comply with this Agreement. You may not access the Site or the Services if you are under the age of 13 years.

SERVICES

The National Student Network site and/or services allow registered members of the National Student Network to access an online database for youth relevant opportunities within Canada and a networking platform to initiate mentorship programming between National Young Leaders and youth in their area of expertise. Upon beginning your registration as a National Student Network member, you must review the additional terms and conditions that apply to you. Once you have become a registered National Student Network member, these additional terms will be an extension of this Agreement.

If you choose to register, you agree to provide us with accurate, complete registration information. Each registration is for a single user only. You are responsible for preventing unauthorized use of your account.

LIMITATIONS OF USE

All content we make available through the National Student Network services is provided solely for your personal use and not for exploitation. You may not copy, modify, reproduce, republish, distribute, display, perform or transmit for commercial, non-profit or public purposes all or any portion of the Site and/or the Services.

Any unauthorized use of the Site and/or the Services is expressly prohibited. You may not use language or content that is illegal, obscene, defamatory, abusive, threatening, profane, and invasive of privacy or public rights. You may not upload, distribute or make available items harmful to minors and/or violates governmental law. You may not distribute or make available content that violates, misappropriates or infringes upon the rights of others in any way, including any patents, copyrights, trademarks, trade secrets, rights of privacy, rights of publicity, or moral rights of the National Student Network or any third party.

GENERAL REPRESENTATION AND WARRANTY

You represent and warrant that (i) your use of the Website will be in strict accordance with the National Student Network Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from Canada or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party.

RESPONSIBILITY OF THE USER AND WEBSITE VISITOR

National Student Network has not reviewed, and cannot review, all of the material, including computer software, posted to the Website, and cannot therefore be responsible for that material’s content, use or effects. By operating the Website, National Student Network does not represent or imply that it endorses the material there posted, or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Website may contain content that is offensive, indecent, or otherwise objectionable, as well as content containing technical inaccuracies, typographical mistakes, and other errors. The Website may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated. National Student Network disclaims any responsibility for any harm resulting from the use by visitors of the Website, or from any downloading by those visitors of content there posted.

COPYRIGHT INFRINGEMENT

As National Student Network asks others to respect its intellectual property rights, it respects the intellectual property rights of others. If you believe that material located on or linked to by nsncanada.org violates your copyright, you are encouraged to notify National Student Network. National Student Network will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. National Student Network will terminate a visitor’s access to and use of the Website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of National Student Network or others. In the case of such termination, National Student Network will have no obligation to provide a refund of any amounts previously paid to National Student Network.

EXTERNAL LINKS

We have not reviewed, and cannot review, all of the material, including computer software, made available through the websites and webpages to which nsncanada.org links, and that link to nsncanada.org. National Student Network does not have any control over those external websites and webpages, and is not responsible for their contents or their use. By linking to an external website or webpage, National Student Network does not represent or imply that it endorses such website or webpage. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. National Student Network disclaims any responsibility for any harm resulting from your use of external websites and webpages.

DISCIPLINARY ACTION OF UNLAWFUL ACTIVITY

National Student Network may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

TERMINATION

You have the right to discontinue your use and membership of the National Student Network site and/or services at any time.

IDEMNIFICATION

You agree to indemnify and hold harmless National Student Network, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of this Agreement.

MODIFICATIONS TO TERMS OF USE

National Student Network reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. National Student Network may also, in the future, offer new services and/or features through the Website (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

PRIVACY

The National Student Network may collect certain information from or about you in connection with your use of the Site and/or the Services. We may require you to provide your first and last name; your e-mail address; and other information that allows us to provide a better experience for you on our Site. We collect and use such information for many purposes, including but not limited to service fulfillment and to better understand user needs.

You consent that general communications with the National Student Network will generally be by electronic means, such as e-mail, and, through video conferencing. You consent to receiving communications from the National Student Network via e-mail, fax, telephone, mail, or any other delivery method. These communications may include, but are not limited to, information about service updates, new features, or information we believe may be of interest to you and/or pertain to your contract/position within the National Student Network.

National Student Network reserves the right to compile anonymous data from User Submissions for any purpose, and we may combine this information with other information, without restriction. We also use log files, cookies, and other technology to help us manage advertising, maintain usage records, and improve our users’ experience of the website and services. Google Analytics may also help us accomplish these goals. To do so, we analyze data such as IP addresses, device and platform type, device identifiers, browser type and language, referring and exit pages, URLs, click counts, domain names, landing pages, pages viewed, page view sequence, time spent on specific pages, and the date and time of activity on the website. For our internal use, such information may sometimes be associated with your user information.

We may disclose your personally identifying information if required by applicable law or governmental authority.

We will take commercially reasonable steps to ensure that your data is secure.

NO LIABILITY FOR NON-NATIONAL STUDENT NETWORK ACTIONS

You understand, acknowledge and agree that in no event will the National Student Network be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising from or relating to the conduct of you or anyone else in connection with the use of the website and/or services including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other registered users, members, and/or volunteers of the National Student Network website and/or services. This includes any claims, losses or damages arising from the conduct of users who have registered under false pretenses or who attempt to defraud or harm you.

DISCLAIMER

You understand, acknowledge and agree that the National Student Network has no responsibility for any loss, injury, claim or damage resulting from or arising out of (A) any their party website or content directly or indirectly accessed through the National Student Network, (B) your use of the website and our services, (C) any user submissions, (D) your use of any equipment or software in connection to the National Student Network and/or third party storage services.

Any resolution for any dispute with the National Student Network is to discontinue your use of the website and/or its services. The National Student Network will not be liable for any direct or indirect loss, injury, claim, or damage resulting from your use of the website and/or services online or offline. The National Student Network will not be liable in any instance or circumstance whatsoever for any actions by any third party.
